Brouse Represented SURTECO in $255M Acquisition of Laminates Business from OMNOVA Solutions

Brouse represented SURTECO Group SE, a German public company and producer of coated surface materials, in its acquisition of the laminates, performance films and coated fabrics business of OMNOVA Solutions, a subsidiary of publicly-traded Synthomer plc.
The acquisition, closed on February 28, 2023, and took place via SURTECO North America Inc., USA, a subsidiary of the German entity. The business will operate out of offices and facilities in Ohio, Pennsylvania, North Carolina, South Carolina, Mississippi, Ontario, Canada and Rayong, Thailand.
Partners Craig Horbus and Edward Smith led the transaction. The attorney team also includes Patricia Gajda on regulatory matters, Thomas Gattozzi on real estate matters, Stephen Bond, Christopher Carney and Tom Wiencek on labor and employment matters, Patrick Egan on employee benefits, E. Camille Yancey on environmental matters, and Eric Fox, Brendan Carney, Ryan Robinson, and Jarman Smith on corporate matters.
