Biography
Craig is a partner in Brouse McDowell’s Business Transactions & Corporate Counseling Practice Group where he oversees the firm's Cybersecurity and Data Privacy client initiatives along with practicing in the areas of M&A, Technology and Real Estate transactions. Known for his strong business acumen, Craig has a proven ability to provide candid, innovative, client first legal advice to assist corporate clients in achievement of company mission, vision, strategy, and succession goals to advance business operations.
Craig has substantial experience representing companies of varying sizes, scope and industry serving as outside general counsel and a trusted business advisor, especially as it relates to mergers and acquisitions and cybersecurity and data privacy. His practice has evolved to include acting as counsel to companies through data breaches, ransomware, and malware, hacking and phishing attacks.
In the event of a breach, Craig works in tandem with his client, law enforcement, and forensics and insurance providers to maintain business operations, file appropriate notifications, and negotiate recovery if the need arises. Proactively, Craig works with organizations to design their pre-breach cybersecurity plans, and he provides counsel on data privacy transactions and contract and cyber liability insurance reviews.
Craig is a skilled negotiator whose candid and straightforward counsel has proved invaluable to his clients in a multitude of complex merger and acquisition transaction situations. He also works with internet and technology-based businesses to advise them on the ever-changing and emerging legal issues in today’s technology world.
As a business and community leader with many years of experience Craig maintains a focus on positively impacting his community, while providing counsel, leadership and sound legal strategy to companies.

- Prepared, reviewed and revised commercial based privacy policies, terms and conditions of use, security agreements and disclaimers for technology services (SaaS and cloud based) and software/data applications for multiple national based internet and web application companies
- Prepared, reviewed and revised facilities management agreements including vendor and supplier agreements
- Software application development-based projects for commercial builds including review and platting of the design, coding, privacy, and compliance
- Assisted in the drafting, researching and reviewing of engineering design build contracts and provisions for large scale commercial based projects in excess of $20 million dollars
- Extensive experience with municipalities and government agencies in planning and completing projects and resolving permitting and/or zoning/use issues for commercial projects
- Work involving multi-million-dollar Utica shale energy land acquisition, sale and transfer transactions and agreements involving tens of thousands of acres of land in the Ohio Utica shale region including chain of title review, dispute resolution and lease rights involving national and local based oil & gas companies
- Creation of all transactional documents for county land bank including purchase/sale, municipal agency, abatement, donation, grant, lot, side lot, and service, demolition, and development agreements
- Technology real estate projects including design build construction of data center and co-location facility build outs, operations, and network fiber optic cable negotiations
- Multitude of corporate transactional projects including, acquisition, sale, and transfer transactions, which included due diligence review, closing contracts, risk management, compliance, privacy, employment, and corporate resolution documents and governance
- Experience with retail business operations selling direct to consumer
- Extensive research and computer skills for legal and regulatory compliance-based projects
- Hands on technology experience including management of entire network infrastructures and conversion over to cloud-based systems saving thousands on capital improvements for law firm
- Cybersecurity and Data Privacy Matters
- Advised a large international consumer retailer in a breach involving credit card skimming code that was installed on the French speaking Canadian operations e-commerce site. The breach involved Canadian citizens under PIPEDA. Brouse filed proper notices with the Canadian Government and consumers. (April 2021)
- Counseled a large manufacturer on a data breach ransomware attack in excess of a $500,000 demand
- Counseled multiple clients on ransomware attacks
- Provided counseling on multiple security incident responses related to Business Email Compromise (BEC), phishing and malware attacks
- Negotiated and drafted penetration testing contracts for a national security advisor company to avoid CoalFire situation
- Handled GDPR compliance projects for multiple national and international companies
- Handled CCPA and ODPA compliance projects for multiple companies
- Advised on data privacy issues for multiple national companies
- Negotiated the release of data/source code for a billion-dollar national company which was being held hostage by a former co-location data facility which incorporated website application source code on a design project
- Multiple source code negotiated transactions and dispute resolution involving code ownership
